5. Payment Terms

Payment terms for services will be outlined in your service agreement or invoice. OneCall Managed Services reserves the right to suspend or terminate services for non-payment without liability for resulting downtime, data loss, or business interruption.

Invoices are generally due within 7–15 days unless otherwise specified.

Failure to pay invoices may result in:

5.1

Subscription & Recurring Billing

Certain services are billed on a recurring monthly basis. By subscribing to these services, you authorize OneCall Managed Services to charge your payment method on a recurring basis unless canceled in accordance with your service agreement.

Services automatically renew each billing cycle unless otherwise stated.


5.2

Refund Policy

Due to the nature of digital services, consulting, and labor-based work, all payments made to OneCall Managed Services are non-refundable unless otherwise stated in writing.

Monthly services are billed in advance and are not prorated upon cancellation.

In the event of a billing error, clients must notify us within 7 days for review and resolution.


5.3

Cancellation Policy

Clients may cancel services by providing written notice.

Cancellation terms, including notice periods, are defined in the applicable service agreement.

If no agreement exists, a minimum of 15 days written notice is required prior to the next billing cycle.


5.4

Dispute & Chargeback Policy

Clients agree to contact OneCall Managed Services directly to resolve any billing concerns before initiating a chargeback or dispute.

Unauthorized chargebacks may result in:
• Immediate suspension of services
• Additional administrative fees
• Collection actions if necessary


6. Client Responsibilities 

Clients agree to the following responsibilities in connection with the use of OneCall Managed Services:

• Provide accurate, complete, and up-to-date information when requesting services
• Maintain secure passwords, administrative credentials, and access controls
• Promptly notify OneCall Managed Services of suspected cybersecurity incidents, breaches, or system issues
• Maintain valid and properly licensed software for all supported systems
• Provide timely access to systems, devices, and environments required for service delivery
• Ensure that all users within their organization follow basic security and acceptable use practices
• Use all services strictly for lawful business purposes
• Not engage in illegal, abusive, fraudulent, or malicious activities using systems supported or managed by OneCall Managed Services

Clients acknowledge that failure to meet these responsibilities may:

• Limit the effectiveness of services provided
• Increase security risks
• Result in delays, additional costs, or service limitations

OneCall Managed Services shall not be held responsible for issues, damages, or security incidents resulting from:

• Client negligence
• Failure to follow recommended security practices
• Unauthorized access due to weak or compromised credentials
• Use of unsupported, unlicensed, or outdated systems


7. Cybersecurity Disclaimer

While OneCall Managed Services provides cybersecurity services designed to reduce risk, no system can be guaranteed 100% secure.

Clients acknowledge that:

• Cyber threats evolve continuously
• Even well-secured systems may be compromised
• Cybersecurity services reduce risk but cannot eliminate it

Clients remain responsible for implementing recommended security practices.


8. Third-Party Software and Services

Many services rely on third-party platforms and software providers such as:

• Cloud hosting providers
• Backup platforms
• Security software vendors
• Infrastructure providers

OneCall Managed Services is not responsible for outages or failures caused by third-party vendors.


9. Intellectual Property

All content on this website including:

• Text
• Graphics
• Branding
• Logos
• Website design
• Software scripts

is the property of OneCall Managed Services unless otherwise stated.

10. Limitation of Liability

Total liability shall not exceed the amount paid for services in the previous three (3) months.

10.1 Maximum Liability Clarification

In no event shall OneCall Managed Services be liable for damages exceeding the total amount paid by the client in the three (3) months preceding the event giving rise to the claim.

Violation may result in termination of access and possible legal action.
